Terms and conditions for Chartbuddy.

Terms of service, payment terms, and user responsibilities.

1. Introduction

These Terms and Conditions ("Terms") govern your use of the software and services provided by Chartbuddy B.V. ("Chartbuddy," "we," "us," or "our").

1.1 The Services

"Services" means the Chartbuddy products listed below, together with our websites, APIs, documentation, and updates that support those products. Chartbuddy is also available in other forms (including Chartbuddy Embed); these Terms apply only to:

  • Chartbuddy Hub: a desktop application for macOS and Windows.
  • Chartbuddy for Google Slides™: a Chrome extension that creates and edits charts inside Google Slides.

Where a provision of these Terms applies to only one product, that product is named. Where no product is named, the provision applies to all products covered by these Terms. Additional products we make available later are covered by these Terms when we release them, unless we publish product-specific terms.

Third-party products you use alongside the Services, including Google Workspace and Google Slides, are not part of the Services. Your use of them is governed by your agreement with that provider. We are not responsible for their availability or for changes they make to the platforms we build on.

Chartbuddy Embed is distributed separately as an npm package under its own package license and is not governed by these Terms.

2. Acceptance of Terms

By accessing or using any of the Services, you confirm your agreement to these Terms. If you do not agree, you must refrain from using the Services. If you are using the Services on behalf of an organization, you confirm that you have authority to bind that organization to these Terms. These Terms may be updated as described in Section 13.3.

3. License and Access

3.1 Grant of License

Subject to these Terms, we grant you a non-exclusive, non-transferable license to use the Services for your personal or internal business use.

3.2 Limitations on Use

You agree not to:

  • Reverse engineer, decompile, or attempt to derive source code of the Services.
  • Copy, frame, mirror, or create derivative works from the Services.
  • Access the Services to build a competitive product or service.
  • Perform unauthorized data scraping or data extraction.
  • Use the Services in violation of applicable law or these Terms.

3.3 Chartbuddy Hub: access to your existing charts

Charts you create in Hub are stored on your own device. If we discontinue Hub or you choose not to subscribe after charges are introduced, we will continue to make available at no charge a version of Hub that lets you open and export charts already on your device.

4. User Accounts and Security

4.1 Account Creation

To use certain features of the Services, you may need to create an account and provide accurate and current information.

4.2 Password and Security

You are responsible for maintaining the security of your account credentials, including any API tokens issued to Chartbuddy Hub or to a browser extension.

5. Privacy and Data Collection

How we collect, use, store, and safeguard personal data, including what each product processes, is described in our Privacy Policy. Cookies and similar technologies on our website are described in our Cookie Policy.

6. User Conduct and Responsibilities

You agree not to:

  • Upload harmful, illegal, or offensive content using the Services.
  • Violate any applicable laws or regulations.
  • Interfere with or disrupt the operation of the Services or other users' experience.

7. Intellectual Property

7.1 Your Content

You retain all right, title, and interest in charts, data, and other content you create using the Services ("Your Content"). Chartbuddy acquires no ownership in Your Content. We process Your Content only as necessary to provide the Services to you, as described in our Privacy Policy.

7.2 Our Content

All content, branding, and software in the Services are the property of Chartbuddy and its affiliates. You may not use our intellectual property without permission, except as allowed by these Terms.

8. AI-Generated Content and Automated Access

8.1 Automated Access

You may opt to connect AI assistants and agents to the Services, including through the Model Context Protocol (MCP). Where you connect an AI client to Chartbuddy Hub, that connection runs locally on your own device and under your control.

8.2 Your Responsibility

You are responsible for all actions taken through the Services by an AI assistant or agent you connect, to the same extent as if you had taken those actions yourself. You are responsible for ensuring that your use of that assistant complies with your own legal and contractual obligations.

8.3 No Verification of Output

Chartbuddy does not review, verify, or validate charts, figures, labels, or any other output produced with the assistance of an AI assistant. You are responsible for checking that a chart accurately represents your data before you rely on it, share it, or include it in a document.

8.4 Third-Party AI Providers

Where you use a third-party AI assistant with the Services, your prompts and the content you give that assistant are handled by its provider under your agreement with that provider. Chartbuddy is not a party to that agreement and is not responsible for how that provider handles your data.

9. Disclaimer of Warranties

The Services are provided on an "as-is" and "as available" basis without warranties of any kind, except as required by law. We do not guarantee uninterrupted, error-free, or secure access to the Services.

10. Limitation of Liability

Exclusion of Certain Damages: To the extent permitted by law, Chartbuddy is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenue, even if advised of the possibility, arising from:

  • Access to or use of, or inability to access or use, the Services;
  • Any conduct or content of any third party;
  • Unauthorized access, use, or alteration of your transmissions or content.

Cap on Liability: To the extent permitted by law, Chartbuddy's total aggregate liability for all claims under these Terms is limited to the amount you paid Chartbuddy for the Services during the three (3) months prior to the event giving rise to the liability.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct.

11. Indemnification

To the extent permitted by law, and except where you are acting as a consumer, you agree to indemnify and hold harmless Chartbuddy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Payment Terms and Services

12.1 Fees

Current fees and plans for each product are published on our pricing page. If we introduce or change charges for Chartbuddy Hub, we will give at least three (3) months' notice before they take effect.

12.2 Payment currency

Payments are processed in Euros (EUR) and US Dollars (USD).

12.3 Payment Processing

Payments are processed through our secure payment provider. By making a payment, you agree to our payment provider's terms and conditions and privacy policy.

Accepted Payment Methods: We accept major credit cards (Visa, Mastercard), bank transfers, and are willing to consider other payment options upon request.

Payment Security: All payment information is encrypted and processed securely by our payment provider. We do not store your payment details on our servers. We maintain transaction records for accounting and customer service purposes, as required by law.

12.4 Billing and Subscriptions

Billing Cycle: Subscription services are billed monthly or annually, as selected by the user.

Automatic Renewal: Subscriptions will automatically renew unless cancelled before the renewal date.

Payment Failure: If a payment fails, we will attempt to process it again. Continued payment failures may result in service suspension.

12.5 Refunds and Cancellations

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at support@chartbuddy.io.

Refund Policy: Refunds will be considered on a case-by-case basis. Generally, we offer refunds for technical issues preventing service use and for billing errors. EU consumer cancellation rights are set out in Section 12.7.

Processing Time: Approved refunds will be processed within 5-10 business days.

Business customers: If you purchase for business purposes (including via invoice), EU consumer withdrawal rights in Section 12.7 do not apply. Refunds for business customers are handled on a case-by-case basis as described above.

12.7 Consumer Rights

If you are a consumer in the European Union (a natural person acting for purposes outside your trade, business, or profession), you have specific rights including:

  • Right to cancel within 14 days of purchase
  • Right to receive services as described
  • Right to refunds for defective services
  • Right to clear pricing information

If you purchase for business purposes (including as a company, or as an individual acting in a trade or profession), you are not a consumer for these purposes. Sections 12.5 and 12.9 apply instead, and the 14-day consumer withdrawal right does not apply.

12.8 Shipping and Delivery

Digital Services: Chartbuddy provides digital services only. No physical goods are shipped.

Service Delivery: Access to paid features will be activated immediately upon successful payment processing.

12.9 Business Customers and Invoicing

If you purchase the Service via invoice or order form rather than through our webshop:

  • Payment terms and subscription details are as stated on your invoice or order form.
  • Payment of the invoice constitutes acceptance of these Terms and our Privacy Policy.
  • You confirm you are purchasing for business purposes and not as a consumer.
  • We may suspend access for material non-payment after reasonable notice.

13. Modifications and Updates

13.1 Changes to the Services

We may modify the Services. Where a change materially reduces the functionality of a product you pay for, we will give at least thirty (30) days' notice.

13.2 Discontinuation

We may discontinue a product. For a product you pay for, we will give at least ninety (90) days' notice and refund prepaid, unused fees for the remainder of your term. For Chartbuddy Hub, the commitment on access to your existing charts in Section 3.3 applies.

13.3 Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on this page with an updated "Last updated" date, or on a later effective date we state. Where a change materially affects your rights, we will notify account holders by email or in the product before the change takes effect.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree, you must stop using the Services before that date. You may cancel a paid subscription as described in Section 12.5.

If you have a Master Subscription Agreement with us, that agreement controls over these Terms for the products covered by it, including how changes are made.

14. Termination

We may suspend or terminate your access to the Services if you violate these Terms. You may also stop using the Services at any time if you no longer agree with these Terms.

On termination, you may export your account data and configuration settings as described in Section 15.2. Charts stored on your own device or already placed in your presentations remain yours and are unaffected.

15. Service Availability

15.1 Uptime

While we strive for maximum availability, these Terms do not guarantee specific uptime percentages or service credits. Enterprise customers with a Master Subscription Agreement may have separate availability commitments as set out in that agreement.

  • Maintenance windows may occur; we will provide notice where practicable.
  • Service interruptions may occur for technical improvements, third-party API availability, or factors outside our control.
  • Technical requirements may change as we update the Services. Changes that materially reduce paid functionality are subject to the notice periods in Section 13.

15.2 Data Export

During your subscription and for thirty (30) days after it ends, you may request an export of the account data and configuration settings we hold for you. After that period we delete this data from active systems, subject to legal holds and to backup cycles described in our Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Netherlands. Any disputes will be subject to the exclusive jurisdiction of the Amsterdam District Court. These Terms comply with Dutch consumer protection laws (Burgerlijk Wetboek).

17. Enterprise Customers

Customers requiring a Master Subscription Agreement, Data Processing Addendum, or custom commercial terms may request these separately. See our Data Processing Addendum page for how to request a DPA. Where you have executed such an agreement with Chartbuddy, that agreement governs in place of conflicting provisions in these Terms.
